Terms of Service

1. Scope

These Terms of Service govern all contracts between Stefan Hillen (trading as onairwerk.de), c/o COCENTER, Koppoldstr. 1, 86551 Aichach, Germany (hereinafter "Provider") and the customer regarding the use of the OnAirPanel software-as-a-service platform (hereinafter "Service").

OnAirPanel is a product of OnAirWerk (Stefan Hillen). Payments and invoices are issued via the payment service provider Paddle under the name OnAirWerk · Stefan Hillen — this corresponds to the trading name of the Provider's parent business.

2. Description of Service

OnAirPanel is a web-based platform for remote monitoring and control of radio stations based on the mAirList REST API. The Provider makes the Service available to the customer as software-as-a-service over the internet.

3. Contract Formation

The contract is formed upon completion of the ordering process via Paddle (payment service provider). By completing the order, the customer agrees to these Terms of Service.

4. Licence and Restrictions

The Provider grants the customer a simple, non-transferable right to use the Service for their own broadcasting operation.

The following are expressly prohibited:

• Sharing access credentials with third parties outside the customer's own organisation
• Subletting, reselling or otherwise commercially transferring the Service or individual features to third parties
• Operating the Service as a reseller or white-label solution for third parties without the Provider's express written consent
• Using the Service for more stations or monitors than contractually agreed

In case of violation, the Provider is entitled to immediately suspend access and claim damages.

5. Private User Tariff

For private individuals, the Provider offers a separate, discounted tariff at onairpanel.com/en/privatanwender.html ("Private User Tariff"). In addition to these Terms, the following special conditions apply:

1. The Private User Tariff may only be booked by individual private persons (consumers) for their own, non-commercial hobby broadcast. Companies, schools, clubs, associations and other organisations are not eligible.
2. The broadcast monitored via OnAirPanel must not generate any revenue — whether through advertising, sponsorship, donation appeals with consideration, or any other commercial or professional activity.
3. The licence is non-transferable and may not be passed on, lent, or sublet to third parties.
4. The Provider is entitled, for the purpose of preventing abuse, to spot-check the playlist and broadcast data visible via the monitor, in order to verify compliance with these conditions. By booking this tariff, the customer expressly consents to this review (see also Privacy Policy, section 2.5).
5. In case of a violation of these conditions, the Provider is entitled to retroactively convert the contract to the standard tariff and to charge the price difference from the start of the contract. There is no entitlement to a refund of amounts already paid in this case.
6. The Provider reserves the right to require written confirmation of private-user status before activation or during an ongoing contract.

6. Prices and Payment

Current prices are available at onairpanel.com/pricing. All prices are exclusive of applicable VAT.

Payments are processed exclusively via Paddle (Paddle.com Market Ltd.). Paddle acts as Merchant of Record and is responsible for payment processing, invoicing and VAT collection.

7. Term and Cancellation

Monthly subscriptions have a minimum term of one month and renew automatically each month unless cancelled before the end of the current billing period.

Annual subscriptions have a minimum term of twelve months and renew automatically for a further year unless cancelled at least 30 days before the end of the contract year.

Cancellation is exclusively via the Paddle customer portal. For technical issues, contact support@onairpanel.com.

8. Availability and Support

The Provider endeavours to maintain high availability of the Service but does not guarantee uninterrupted access. Planned maintenance will be announced where possible. Support is provided by email at contact@onairpanel.com.

9. Limitation of Liability

The Provider is fully liable for intent and gross negligence, and for damages arising from injury to life, body or health. For simple negligence, liability is limited to foreseeable damages arising from the breach of essential contractual obligations. Further liability is excluded.

10. Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Aichach, Germany, to the extent permitted by law.

11. Changes to Terms

The Provider reserves the right to amend these Terms. Changes will be communicated to the customer at least 30 days before taking effect. If the customer does not object within 30 days, the amended Terms are deemed accepted.
